1.      INFORMATION ABOUT MERIDIEM

 

1.1. The airgen.io site (hereinafter, the "Site") is managed and operated under the responsibility of :

The Meridiem SRL (hereinafter, "Meridiem"),

1.2. The Site enables users (hereinafter the "Users") to automate complex tasks using artificial intelligence. By integrating various professional tools, Users can generate and assign AI-driven operations using data they provide (hereinafter, the "Service").

 

1.3. Any question or complaint relating to the Site, the Service, these general terms and conditions (hereinafter, the "GTC"), the privacy notice (hereinafter, the "Privacy Notice") and the cookie policy (hereinafter, the "Cookie Policy") may be addressed to Meridiem SRL at the address mentioned above or at the following email address: contact@tech.airgen.io.

 

1.4. The GTC, the Privacy Notice and the Cookie Policy are collectively referred to as the “Terms”.

 

2.      ACCEPTANCE

 

2.1. Access to the Site is subject to these Terms and the applicable laws and regulations. Consequently, access to the Site and the Service implies full and unreserved acceptance by the User of these Terms.

 

2.2. These Terms exclusively govern the relationship between the User and Meridiem in relation to the use of the Site and the Service. They may be consulted at any time on the Site.

 

3.      ACCESSIBILITY AND OPERATION OF THE SITE

3.1. Meridiem will ensure, as far as possible, that the Site is up to date and remains accessible to a normal number of Users. However, Meridiem does not guarantee that the functions of the Site will be available without interruption or without error, that defects will be corrected immediately or that the server which makes it available is free of viruses or other harmful components.

 

3.2. Meridiem may not be held liable for any loss and/or damage of any nature whatsoever resulting from the suspension, interruption, (technical) disruption, slowdown, difficult accessibility and/or cessation of accessibility to all or part of the Site or from viruses or other harmful elements present on the Site.

 

3.3. If the User notices the presence of an error, virus or other harmful element on the Site, he/she is invited to inform Meridiem at the following address: contact@tech.airgen.io so that the necessary measures can be taken. Meridiem in any event advises the User to install firewalls, anti-virus and other necessary protection software on his/her computer in order to prevent any damage to it.

 

3.4. Meridiem retains the right to suspend or discontinue all or part of the Site, at any time, without justification and without prior notice.

 

4.      USE OF THE SITE

 

4.1. The User undertakes to use the Site in accordance with its purpose only, to the exclusion of any other purpose.

 

4.2. The User is responsible for ensuring that all information provided is accurate and up to date.

 

4.3. The User undertakes to use the Site in good faith and to comply with current legislation, and in particular to refrain from (this list being non-exhaustive) :

 

-          using the website or services for any illegal purposes (including violations of data protection and e-privacy rules);

-          sending to Meridiem any content or communications which is false or misleading, (and to update such content as necessary to ensure that it does not become false or misleading), obscene, racist or xenophobic, abusive, unlawful, deceptive, invasive of another's privacy, offensive, harmful, violent, threatening or harassing, defamatory, infringing of any intellectual property right or any other right, or which encourages or participates in any of the foregoing;

-          providing email addresses or other types of content to Meridiem without having obtained the prior consent of the persons concerned;

-          sending to Meridiem any content that violates the rights of a third party or harms them in any way whatsoever (intellectual property rights, privacy, business secrets, etc.);

-          sending content to Meridiem that links to illegal websites or contains inappropriate content;

-          using the Site to send spam, unsolicited mail, pyramid schemes or any similar or fraudulent process;

-          circumventing the technical devices used to protect documents and multimedia elements ;

-          any action that may have the effect of disrupting the proper operation of the Site or the Service, including the use of worms, viruses, software bombs or mass mailings;

-          attempting to gain unauthorised access to any part of the Site or to any equipment used to operate the Site ;

-          using a false name or pseudonym, or take advantage of the identity of another person or entity; or

-          using the Site for purposes other than those set out in the Terms.

 

4.4. Meridiem may in no way be held responsible in the event of non-compliance by the User with the Terms and/or applicable laws or regulations. The User shall guarantee and hold harmless Meridiem against any action, claim or complaint from third parties (including public authorities) relating to his/her use of the Site.

 

4.5. Users use the Site at their own risk. The Site, its components and all related information, software, facilities and services are provided "as is" and "as available" without warranty of any kind (either express or implied) and to the fullest extent permitted by applicable law.

 

4.6. Meridiem declines all responsibility in the event of loss or damage (direct, indirect, material or immaterial) resulting from the use of the Site and its components, or from the inability to use the Site.

 

4.7. The User is also required to inform Meridiem immediately in writing if he becomes aware of any inappropriate behaviour or use in connection with the Site by sending an email to the following address: contact@tech.airgen.io.

 

5.      LINKS TO AND FROM OTHER SITES

              Hypertext links to other websites may appear on the Site. In addition, certain websites may include a link to the Site. These third-party sites are not controlled by Meridiem, which therefore assumes no responsibility for their operation, content or use. Unless expressly stated otherwise by Meridiem on the Site, the existence of such links does not imply any approval by Meridiem of these third-party sites or the use that may be made of them, nor any association or partnership with the operators of these sites.

 

6.      INTELLECTUAL PROPERTY RIGHTS

 

6.1. The Site and its components (trademarks, logos, graphics, photographs, animations, videos, music, texts, codes, etc.) are the property of Meridiem. They are protected by intellectual property rights (in particular copyright, design and model rights, trademark rights, etc.) and may not therefore be reproduced, used or distributed without the prior written authorisation of Meridiem or, where applicable, the holder of the rights concerned, on pain of constituting an infringement of copyright and/or design and model rights and/or trademark rights, punishable by three months to three years and a fine of 100 to 100,000 euros or one of these penalties only.

 

6.2. Meridiem hereby grants the User a non-exclusive, non-transferable licence, for an indefinite period and revocable at any time without giving any reason, to access, display and download the content of the Site solely for display purposes. The User may also print a copy of the content displayed on the Site for his/her personal use, provided that he/she does not alter the content of the Site in any way and that he/she retains all mentions of authorship and origin of the Site. Reproduction is therefore only authorised for strictly private purposes within the meaning of article XI.190 5° of the Code of Economic Law.

 

6.3.  Notwithstanding the above, any content generated by AI services provided on our platform may be used by the user. We grant a license to use this AI-generated content for your own purposes, subject to the terms of our service.

 

6.4. Any use of the Site and its components not covered by this article is strictly prohibited.

 

7.      COMPLAINTS

              In order to be valid, any complaint by the User relating to the Site must be communicated in writing within eight (8) calendar days of becoming aware of the event giving rise to the complaint. The absence of any dispute in accordance with the aforementioned rules implies unconditional and unreserved acceptance by the User of the event giving rise to the complaint and, de facto, the definitive waiver of any claim in this respect.

8.      MODIFICATIONS AND LANGUAGE VERSIONS

 

8.1. Meridiem reserves the right to modify and update, at any time, by notifying Users via the Site, these Terms, access to the Site and its content. Users are bound by all such changes each time they access the Site. 

 

8.2. In the event of any discrepancies between the language versions of these Terms, the English language version shall prevail.

 

9.      VALIDITY OF CONTRACTUAL CLAUSES

 

9.1. The failure of Meridiem to avail itself, at a given time, of a provision of these GTC shall not be construed as a waiver of any subsequent rights under the GTC.

 

 

9.2. Any provision of these GTC that is considered by a court as invalid, unenforceable or unenforceable in whole or in part shall be deemed unwritten. The provision that is wholly or partially null, void or unenforceable shall be deemed unwritten. Meridiem undertakes to replace this provision with another that pursues, as far as possible, the same objective.

 

10. APPLICABLE LAW AND JURISDICTION

 

10.1.                     The validity, interpretation and/or performance of the GTC shall be governed by Belgian law, to the fullest extent permitted by the applicable rules of private international law.

 

10.2.                     In the event of a dispute concerning the validity, interpretation or performance of the GTC, the Courts and Tribunals of the judicial district of Liège (Belgium) shall have exclusive jurisdiction, to the full extent permitted by the applicable rules of private international law.

 

10.3.                     Before taking any steps towards the judicial resolution of a dispute, the User and Meridiem undertake to try to resolve it amicably. To this end, they shall first contact each other, before resorting, where appropriate, to mediation, arbitration or any other alternative dispute resolution method.
